GENERAL SUMMARY:

The Governance Specialist is responsible for managing and maintaining the legal documentation, communications and formal processes for the governance of Henry Ford Health System.

PRINCIPLE DUTIES AND RESPONSIBILITIES:

  • Provide advance planning and notice of meetings of the board and/or of a committee when such notice is required.

  • Organize and coordinate certain board meetings and board documents.

  • Attend board meetings, taking minutes.

  • Be proficient in technology and AI.

  • Ensure the accuracy of all board records.

  • Assist with all Board Level communications.

  • Maintain a database of demographic and appointment information.

These duties should not be considered as the only elements to the role, as there will be a requirement to be flexible in the duties that you perform on an ad hoc basis.

EDUCATION/EXPERIENCE REQUIRED:

  • Bachelor's Degree in Business, Health Care, paralegal studies or related field OR 4 - 6 years of related government/legal experience in lieu of degree.

  • Experience working in a nonprofit environment including familiarity with basic governance processes - agenda development, production of support materials, writing minutes and recording documents. Excellent computer skills including Microsoft Office and database management.

  • Demonstrated ability to use current audio-visual and meeting-support technology.

  • Excellent computer skills including Board portals, Microsoft Suite of products, video conferencing and database management.

  • Proven customer service skills with a focus on exceptional service, responsiveness and timeliness.

  • Ability to develop and complete routine filings, resolutions and other documents related to nonprofit governance.

  • Willingness to learn industry best practices and laws impacting not-for profit governance.

  • Excellent facilitation and presentation skills and experience conducting retreats or learning sessions with non-profit boards a plus.
